These Terms of Service (“Terms”) govern your access to and use of PriceLogic’s websites, applications, APIs, dashboards, software, analytics tools, integrations, reports, artificial intelligence features, and related services, collectively referred to as the “Service.”
By creating an account, connecting a marketplace account, accessing the Service, using the API, or clicking to accept these Terms, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” and “Customer” refer to that entity.
If you do not agree to these Terms, do not use the Service.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY, DISCLAIM WARRANTIES, REQUIRE INDIVIDUAL ARBITRATION, AND WAIVE CLASS ACTIONS AND JURY TRIALS. PLEASE REVIEW THE FOLLOWING SECTIONS IN PARTICULAR:
The Service is intended only for business, commercial, and professional use. It is not intended for personal, household, or consumer use.
You represent that you are using the Service for business purposes and not as a consumer.
PriceLogic provides software tools for ecommerce sellers, brands, agencies, and related businesses. The Service may include features such as:
PriceLogic may add, modify, suspend, or discontinue features at any time. We are not liable for changes to or discontinuation of any feature, integration, report, API endpoint, or part of the Service.
You must provide accurate, current, and complete account information. You are responsible for maintaining the confidentiality of your login credentials, API keys, access tokens, and connected account permissions.
You are responsible for all activity that occurs under your account, whether authorized by you or not, unless caused by PriceLogic’s gross negligence or willful misconduct.
You must promptly notify us if you suspect unauthorized access to your account, API keys, marketplace tokens, or connected data.
We may suspend or restrict access if we believe your account has been compromised or is being used in violation of these Terms.
You may permit employees, contractors, agents, or other authorized users to access the Service on your behalf, subject to your subscription plan and these Terms.
You are responsible for your authorized users’ compliance with these Terms. Any breach by an authorized user is considered a breach by you.
You must ensure that each authorized user has appropriate permission to access the data and functionality made available through the Service.
The Service may allow you to connect third-party marketplace accounts, including Amazon seller accounts, Amazon Selling Partner API (“SP-API”), Amazon Ads API, Walmart Marketplace, Shopify, or other ecommerce platforms.
By connecting a marketplace account, you authorize PriceLogic to access, retrieve, process, store, analyze, display, and transmit data made available through that marketplace or integration for the purpose of providing, securing, maintaining, and improving the Service.
You represent and warrant that:
PriceLogic is not Amazon, Walmart, Shopify, or any other marketplace. PriceLogic does not control:
Marketplace data may be incomplete, delayed, inaccurate, unavailable, or changed by the marketplace at any time.
You remain solely responsible for your seller accounts, marketplace compliance, listings, prices, inventory decisions, advertising decisions, tax obligations, fulfillment decisions, and business operations.
Unless expressly stated otherwise, PriceLogic is not affiliated with, endorsed by, sponsored by, or approved by Amazon, Walmart, Shopify, eBay, or any other marketplace or third-party platform.
All third-party names, logos, trademarks, and service marks are the property of their respective owners.
“Customer Data” means data, content, files, credentials, marketplace data, business information, product information, supplier information, transaction data, inventory data, reports, prompts, or other information that you submit to, connect to, upload to, or make available through the Service.
You retain ownership of your Customer Data.
You grant PriceLogic a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, analyze, and use Customer Data as necessary to:
PriceLogic may create and use aggregated, anonymized, or de-identified data derived from use of the Service, provided that such data does not identify you, your company, your users, or your customers.
PriceLogic may use aggregated or de-identified data for analytics, benchmarking, product improvement, research, security, and business purposes.
PriceLogic will not publicly disclose your confidential business data in a way that identifies you without your consent.
You may not upload, submit, connect, or process Customer Data that includes:
The Service is not designed for storing highly sensitive personal information. You are responsible for limiting the data you provide to what is necessary for your business use of the Service.
Our collection and use of personal information is described in our Privacy Policy.
By using the Service, you agree that PriceLogic may collect, process, and use personal information as described in the Privacy Policy.
If you provide personal information relating to your employees, contractors, customers, suppliers, or other third parties, you represent that you have the necessary rights and notices required to provide that information to PriceLogic.
The Service may include artificial intelligence, machine learning, automation, forecasting, classification, matching, recommendation, reimbursement, repricing, inventory, profit, or other analytics features.
These features are provided for informational and business-assistance purposes only.
You acknowledge that:
You are solely responsible for reviewing and verifying all outputs before relying on them or taking action.
PriceLogic does not guarantee any business outcome, profit improvement, reimbursement recovery, inventory result, advertising performance, sales increase, account reinstatement, or marketplace decision.
You are responsible for:
You may not rely on the Service as your sole source of truth for tax, accounting, inventory, compliance, legal, or financial decisions.
You may not use the Service to:
We may suspend or terminate access for violations of this section.
By connecting a marketplace account, you authorize PriceLogic to access data from that account through APIs, reports, feeds, tokens, or other approved methods.
This may include:
You understand that marketplace data may be delayed, incomplete, inconsistent, or inaccurate.
PriceLogic does not control marketplace APIs, permissions, reports, data schemas, outages, throttling, or policy changes.
If marketplace access is revoked, expires, or becomes unavailable, some features may stop working.
You are responsible for maintaining valid marketplace permissions and complying with all marketplace terms.
PriceLogic may offer beta, preview, experimental, or early-access features.
Beta features are provided “as is,” may be changed or discontinued at any time, and may be less reliable than generally available features.
You should not rely on beta features for critical business operations.
Certain parts of the Service require a paid subscription.
You agree to pay all fees associated with your selected plan, including subscription fees, usage-based fees, overage fees, implementation fees, support fees, or other charges disclosed at purchase or in an order form.
Fees are due according to the billing terms presented at checkout, in the Service, or in an applicable order form.
Unless otherwise stated, all fees are in U.S. dollars and exclude taxes.
Unless otherwise stated, paid subscriptions automatically renew at the end of each billing period until canceled.
By subscribing, you authorize PriceLogic or its payment processor to charge your payment method for recurring fees, applicable taxes, and any usage-based charges.
You may cancel renewal according to the cancellation process made available in your account or by contacting support.
Cancellation prevents future renewal but does not automatically refund fees already paid.
You may cancel your subscription at any time.
Unless otherwise required by law or expressly stated in an order form:
PriceLogic may provide refunds or credits at its sole discretion. Providing a refund or credit in one case does not create an obligation to do so in another case.
Fees do not include taxes, duties, levies, or similar governmental assessments unless expressly stated.
You are responsible for all applicable taxes, except taxes based on PriceLogic’s income.
If PriceLogic is required to collect taxes, we may charge them to your payment method.
If payment fails or your account becomes past due, PriceLogic may:
You remain responsible for unpaid amounts.
Your subscription may include limits on users, sellers, marketplaces, API calls, data volume, reports, AI usage, storage, connected accounts, or other usage metrics.
If you exceed plan limits, PriceLogic may:
We may update plan limits from time to time.
PriceLogic may change pricing, plans, or billing terms from time to time.
For existing paid subscriptions, material pricing changes will generally take effect at the next renewal period unless otherwise stated.
Your continued use of the Service after a pricing change becomes effective constitutes acceptance of the new pricing.
PriceLogic may offer free trials, discounts, credits, or promotional plans.
We may modify or terminate promotions at any time.
At the end of a free trial, your subscription may convert to a paid plan if payment information has been provided and the trial terms state that conversion will occur.
Promotional credits have no cash value and may expire.
PriceLogic and its licensors own all rights, title, and interest in and to the Service, including software, interfaces, designs, workflows, algorithms, models, reports, templates, documentation, trademarks, and other intellectual property.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service except as expressly permitted by these Terms or by law.
Subject to your compliance with these Terms and payment of applicable fees, PriceLogic grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
This license does not permit you to resell the Service, provide managed services using the Service, or make the Service available to third parties unless expressly authorized in writing.
If you provide suggestions, ideas, enhancement requests, bug reports, or other feedback, you grant PriceLogic a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.
“Confidential Information” means non-public information disclosed by one party to the other that should reasonably be understood to be confidential, including business, technical, financial, product, customer, pricing, security, and operational information.
Each party agrees to use the other party’s Confidential Information only as necessary to perform under these Terms and to protect it using reasonable care.
Confidential Information does not include information that is publicly available, already known without obligation, independently developed, or lawfully received from a third party.
A party may disclose Confidential Information if required by law, provided it gives reasonable notice when legally permitted.
PriceLogic will use commercially reasonable administrative, technical, and organizational measures designed to protect Customer Data.
However, no system is completely secure. PriceLogic does not guarantee that unauthorized third parties will never defeat security measures.
You are responsible for securing your own systems, devices, passwords, users, API keys, and marketplace permissions.
During your subscription, you may have access to certain Customer Data through the Service.
After cancellation or termination, PriceLogic may retain Customer Data for a limited period for backup, legal, security, fraud-prevention, tax, accounting, or legitimate business purposes.
PriceLogic may delete Customer Data after account termination according to its internal retention practices, unless legally required to retain it.
You are responsible for exporting any data you wish to keep before termination or cancellation.
We are not obligated to maintain or provide access to Customer Data after termination unless required by law or agreed in writing.
The Service may integrate with or rely on third-party services, including marketplaces, cloud providers, payment processors, email providers, analytics tools, AI providers, and other vendors.
Your use of third-party services may be subject to separate terms and policies.
PriceLogic is not responsible for third-party services, including their availability, security, accuracy, policies, data, or performance.
If a third-party service changes, suspends, or terminates access, some Service features may stop working.
PriceLogic may provide support through email, documentation, chat, ticketing, or other channels.
Support availability may depend on your subscription plan.
Unless expressly agreed in writing, PriceLogic does not guarantee response times, resolution times, or continuous support availability.
PriceLogic may suspend your access to the Service immediately if:
We will try to provide notice when reasonable, but we may suspend access without notice when necessary.
You may stop using the Service at any time.
PriceLogic may terminate your account or subscription if you materially breach these Terms, fail to pay fees, misuse the Service, or create legal, security, or operational risk.
Upon termination:

To the maximum extent permitted by law, PriceLogic disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
PriceLogic does not warrant that:
To the maximum extent permitted by law, PriceLogic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, lost business opportunity, loss of goodwill, loss of data, marketplace suspension, advertising losses, inventory losses, reimbursement losses, or cost of replacement services.
To the maximum extent permitted by law, PriceLogic’s total liability for all claims arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to PriceLogic for the Service during the three months immediately preceding the event giving rise to the claim.
The limitations in this section apply regardless of the legal theory, whether based on contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if PriceLogic has been advised of the possibility of damages.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
You agree to defend, indemnify, and hold harmless PriceLogic, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
PriceLogic may assume exclusive control of the defense of any indemnified matter, and you agree to cooperate.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, except that either party may seek injunctive or equitable relief in court for unauthorized use of intellectual property, misuse of confidential information, or security-related claims.
The arbitration will be conducted in Sheridan County, Wyoming, unless the parties agree otherwise.
The arbitration will be conducted on an individual basis. Class actions, collective actions, and representative actions are not permitted.
You and PriceLogic waive the right to a jury trial and the right to participate in a class action.
Nothing in this section prevents either party from bringing a claim in small claims court if permitted by law.
You acknowledge that unauthorized use of the Service, misuse of PriceLogic intellectual property, breach of confidentiality, or security violations may cause irreparable harm.
PriceLogic may seek injunctive or equitable relief without posting bond or proving actual damages.
You may not use the Service in violation of export control laws, sanctions, or trade restrictions.
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not listed on any restricted-party list.
If the Service is used by or on behalf of a government entity, the Service is commercial computer software and commercial documentation. Rights are limited to those expressly granted in these Terms.
PriceLogic may update these Terms from time to time.
If we make material changes, we may provide notice by posting the updated Terms, sending email, or displaying notice in the Service.
The updated Terms will become effective on the date stated in the updated Terms.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using the Service.
You may not assign or transfer these Terms without PriceLogic’s prior written consent.
PriceLogic may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Failure to enforce a provision of these Terms is not a waiver of the right to enforce that provision later.
A waiver must be in writing and signed by the party granting the waiver.
PriceLogic will not be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or cloud outages, marketplace outages, API failures, government actions, cyberattacks, power failures, or other events beyond reasonable control.
These Terms — including the Acceptable Use Policy set out in Section 13 — together with any applicable order form, Privacy Policy, or other incorporated terms, constitute the entire agreement between you and PriceLogic regarding the Service.
They supersede all prior or contemporaneous agreements, understandings, or communications about the Service.
If there is a conflict between these Terms and an executed written order form, the order form controls only for that specific conflict.
If there is a conflict between these Terms and the Privacy Policy, the Privacy Policy controls only with respect to privacy-related matters.
